1.2 Binding Contract: By accessing, browsing, registering for, or using any part of the Toolkit, you (“you,” “your,” or “User”) acknowledge that you have read, understood, and unconditionally agree to be bound by these Toolkit Terms. These Toolkit Terms constitute a legally binding contract between you and LAC Health. If you do not agree to ALL the terms and conditions of this agreement, you are expressly prohibited from using the Toolkit and must discontinue use immediately.

• De-identified Information means information that does not identify an individual and where there is no reasonable basis to believe the information can be used to identify an individual, consistent with applicable privacy laws.

It is intended as a resource for medical professionals, students, researchers, and health enthusiasts to explore medical concepts, data analysis, and potential health scenarios. IT IS NOT A SUBSTITUTE FOR PROFESSIONAL MEDICAL JUDGMENT, DIAGNOSIS, TREATMENT, OR CARE.

NOT MEDICAL ADVICE: THE TOOLKIT AND ALL INFORMATION, CONTENT, AND OUTPUTS GENERATED BY IT (INCLUDING FROM AI/ML COMPONENTS) DO NOT CONSTITUTE MEDICAL ADVICE, DIAGNOSIS, OR TREATMENT RECOMMENDATIONS. Reliance on any information provided by the Toolkit is SOLELY AT YOUR OWN RISK. CRITICAL THINKING AND PROFESSIONAL JUDGMENT ARE REQUIRED when interpreting any output from the Toolkit.

2.5 No Guarantee of Accuracy or Completeness: While we endeavor to provide useful information, LAC Health makes NO WARRANTIES, REPRESENTATIONS, OR GUARANTEES WHATSOEVER regarding the accuracy, reliability, completeness, timeliness, suitability, or applicability of the Toolkit’s content, algorithms, software, text, graphics, links, or communications. Errors, omissions, or outdated information may exist.

2.6 Continuous Development & Potential Errors: The Toolkit is under continuous development and refinement. It may contain errors, bugs, inaccuracies, or temporary interruptions. We reserve the right to change, modify, suspend, or remove any part of the Toolkit, its features, or its content at any time without prior notice and without liability.

3.1 Symptom Checker

• Purpose: Provides probability estimates for potential conditions based on user-inputted symptoms, utilizing AI/ML analysis against a medical knowledge base.
• Limitations & Warnings: The probability estimates are FOR INFORMATIONAL AND EDUCATIONAL PURPOSES ONLY AND ARE NOT DIAGNOSTIC. The tool cannot account for all possible conditions, individual variations, comorbidities, or the full clinical context. Output accuracy is highly dependent on the quality and completeness of user input. DO NOT USE FOR SELF-DIAGNOSIS OR TREATMENT DECISIONS.
• AI/ML Disclosure: Uses ML models trained on medical datasets. These models have limitations, may contain biases, and might not reflect rare conditions or the most recent research.
• No Diagnostic Claims: LAC Health explicitly disclaims any diagnostic accuracy or clinical validity of the Symptom Checker.

3.2 Lab Document Analyzer

• Purpose: Offers a summary and potential interpretation of findings from uploaded lab documents using NLP and ML.
• Limitations & Warnings: The analysis is based on generalized medical knowledge and IS NOT A SUBSTITUTE FOR A QUALIFIED HEALTHCARE PROFESSIONAL’S REVIEW. It may not understand specific clinical context, individual patient history, rare results, or non-standard report formats. Accuracy depends heavily on the clarity and completeness of the uploaded document. ALWAYS CONSULT YOUR DOCTOR TO INTERPRET LAB RESULTS.
• AI/ML Disclosure: Employs AI models trained on various lab reports but may struggle with unusual formats or terminology.
• No Replacement for Professional Review: This tool provides preliminary insights only and should never replace consultation with your healthcare provider.

3.3 Drug Interaction Checker

• Purpose: Identifies potential interactions between multiple drugs using a drug database and AI algorithms.
• Limitations & Warnings: The database, while comprehensive, MAY NOT INCLUDE EVERY POSSIBLE INTERACTION (especially for new drugs, supplements, herbals, or rare combinations). It DOES NOT account for individual patient factors (age, weight, genetics, allergies, organ function, diet, etc.). DO NOT ALTER YOUR MEDICATION REGIMEN BASED SOLELY ON THIS TOOL.
• AI/ML Disclosure: Uses ML to update its knowledge but may lag behind newly published interaction data.
• Professional Consultation Absolutely Required: Information is supplementary. ALWAYS CONSULT YOUR DOCTOR OR PHARMACIST before starting, stopping, or changing any medication.

3.4 Health Report

• Purpose: Generates a user-created summary of personal health information (insurance, conditions, allergies, contacts, etc.).
• Limitations & Warnings: The accuracy, completeness, and relevance of the report are ENTIRELY DEPENDENT ON THE INFORMATION YOU INPUT. LAC Health does not verify or validate any user-provided information. You are solely responsible for the content and any consequences of sharing the generated report.
• AI/ML Disclosure: AI is used primarily for formatting and organization based on user input; it does not infer or generate health data.
• Data Privacy & Sensitivity Warning: Be EXTREMELY CAUTIOUS about the information you include. Avoid inputting highly sensitive data unless absolutely necessary for your intended use of the report. Once downloaded or printed, LAC Health has no control over and is not responsible for the privacy or security of the report’s content.

3.5 General Toolkit Limitations

• Internet Connectivity: Requires a stable internet connection. LAC Health is not liable for issues caused by poor connectivity.
• Browser Compatibility: Designed for modern browsers; compatibility with all versions or devices is not guaranteed.
• Data Input Quality: The usefulness and accuracy of all Toolkit outputs are DIRECTLY AND CRITICALLY DEPENDENT on the accuracy, completeness, and appropriateness of the data you provide. GARBAGE IN, GARBAGE OUT.
• Language: Primarily designed for English. Accuracy with other languages is not guaranteed.
• Geographic Scope: Information and data (especially drug information) may be most relevant to the United States. Applicability in other regions is not guaranteed.

4.1 Accuracy of Input: You are SOLELY RESPONSIBLE for the accuracy, completeness, legality, and appropriateness of all information you input into the Toolkit. Providing false, misleading, incomplete, or inaccurate information may lead to erroneous, misleading, or potentially harmful outputs, for which LAC Health bears no responsibility.

4.2 Appropriate Use: You agree to use the Toolkit only for its intended lawful, informational, and educational purposes as described herein. Any misuse, unauthorized access, or use conflicting with these Terms is strictly prohibited.

4.3 No Sensitive Personal Information (Unless Essential): You agree NOT to input highly sensitive personal information (e.g., Social Security numbers, financial account details, driver’s license numbers) unless a specific tool function clearly requires it and you understand the risks. LAC Health is not liable for the security of sensitive information you voluntarily submit where it is not strictly necessary for the tool’s function.

ABSOLUTELY NO PROTECTED HEALTH INFORMATION (PHI): YOU AGREE NEVER TO INPUT, UPLOAD, OR TRANSMIT ANY PROTECTED HEALTH INFORMATION (PHI) AS DEFINED BY HIPAA INTO THE TOOLKIT. The Toolkit is NOT designed or certified to be HIPAA-compliant. If you are a Covered Entity or Business Associate under HIPAA, use of this Toolkit with PHI is a violation of these Terms and potentially HIPAA. You assume all risks and liability associated with any inadvertent or intentional input of PHI.

4.5 Professional Judgment (Healthcare Professionals): If you are a healthcare professional, you explicitly acknowledge the Toolkit is a supplementary, non-diagnostic tool. You agree to rely solely on your independent professional judgment, training, and experience, and verify any Toolkit information before making any clinical assessments, decisions, or recommendations.

NOT FOR EMERGENCY USE: THE TOOLKIT IS NOT INTENDED FOR AND MUST NEVER BE USED IN MEDICAL EMERGENCIES. IF YOU ARE EXPERIENCING A MEDICAL EMERGENCY, CALL 911 OR YOUR LOCAL EMERGENCY NUMBER IMMEDIATELY.

4.7 Prohibited Conduct: You explicitly agree NOT to engage in any of the following activities:

• Reverse engineering, decompiling, disassembling, attempting to derive the source code of, or hacking the Toolkit.
• Circumventing or attempting to circumvent any security measures, access controls, or rate limits.
• Probing, scanning, or testing the vulnerability of the Toolkit or any associated network.
• Using any automated means (robots, spiders, scrapers) to access, collect data from, or interact with the Toolkit, other than through documented APIs if provided by LAC Health.
• Interfering with, disrupting, or imposing an unreasonable load on the Toolkit’s infrastructure or networks.
• Using the Toolkit for any illegal, fraudulent, or unauthorized purpose, or in violation of any applicable law or regulation.
• Impersonating any person or entity or misrepresenting your affiliation.
• Uploading or transmitting viruses, malware, spyware, or any other malicious code.
• Collecting or harvesting information about other users without consent.
• Using the Toolkit to develop a competing product or service.
• Violating the intellectual property rights or privacy rights of LAC Health or any third party.

4.8 Reporting Issues: You agree to promptly notify LAC Health at [email protected] of any errors, bugs, security vulnerabilities, or suspected unauthorized access you discover.

4.9 Compliance with Laws: You are solely responsible for ensuring your use of the Toolkit complies with all applicable local, state, national, and international laws and regulations.

4.10 Indemnification for Misuse: You agree to indemnify, defend, and hold harmless LAC Health and its affiliates, officers, directors, employees, agents, licensors, and successors from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to your violation of these User Responsibilities and Conduct provisions, your violation of any applicable law or regulation, or your negligent or wrongful conduct in connection with your use of the Toolkit.

5.1 Ownership: The Toolkit and all its contents, features, and functionality (including but not limited to all information, software, algorithms, text, displays, images, video, audio, data compilations, and the design, selection, and arrangement thereof) are the exclusive property of LAC Health, its licensors, or other providers of such material, and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws. All rights not expressly granted herein are reserved by LAC Health.

5.2 Limited License Grant: Subject to your strict compliance with these Toolkit Terms, LAC Health grants you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to access and use the Toolkit solely for its intended informational and educational purposes as described herein.

5.3 Restrictions on Use: You MAY NOT:

• Modify, copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer, sell, rent, lease, sublicense, or otherwise exploit any part of the Toolkit or its content for any public or commercial purpose without the express prior written consent of LAC Health.
• Use any automated means (e.g., robots, spiders) to access, scrape, crawl, or index the Toolkit or its content.
• Frame or utilize framing techniques to enclose any trademark, logo, or other proprietary information of LAC Health without express written consent.
• Remove, alter, or obscure any copyright, trademark, patent, or other proprietary rights notices from the Toolkit or any materials obtained from it.
• Use the Toolkit to build a competitive product, service, or database.
• Use the Toolkit in any manner that could damage, disable, overburden, or impair it.

5.4 Feedback: If you provide LAC Health with any feedback, suggestions, ideas, improvements, or other information regarding the Toolkit (“Feedback”), you acknowledge that such Feedback is non-confidential. You hereby grant LAC Health a worldwide, perpetual, irrevocable, royalty-free, fully paid-up, non-exclusive, sublicensable, and transferable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, display, and otherwise exploit such Feedback for any purpose whatsoever, including incorporation into the Toolkit or other products/services, without restriction and without any compensation or attribution to you.

5.5 Trademarks: “LAC Health,” the LAC Health logo, and all related names, logos, product and service names, designs, and slogans are trademarks of LAC Health or its affiliates or licensors. You must not use such marks without the prior written permission of LAC Health. All other names, logos, and slogans on the Toolkit are the trademarks of their respective owners.

5.6 Copyright Infringement (DMCA): We respect the intellectual property rights of others. If you believe that any content on the Toolkit infringes your copyright, please send a notice of copyright infringement compliant with the Digital Millennium Copyright Act (DMCA) to our designated Copyright Agent at [email protected], including all required information. It is our policy to terminate the user accounts of repeat infringers in appropriate circumstances.

6.1 No Intentional Data Storage: LAC Health’s current design aims to avoid storing personal or medical data you enter into the Toolkit’s core analytic functions on our servers beyond the transient processing time required for the tools to function. Data is generally processed in real-time or near real-time and is intended to be automatically deleted shortly after your session or the specific tool usage (e.g., within approximately one hour). However, you acknowledge that internet transmissions are inherently insecure.

6.2 Data Processing for Functionality: You understand and agree that data you input will be processed by our systems, including potentially by AI and ML algorithms hosted by us or trusted third-party service providers bound by confidentiality obligations, solely for the purpose of operating and providing the Toolkit’s functionality to you.

6.3 Use of De-identified and Aggregated Data: Notwithstanding section 6.1, LAC Health reserves the right to collect, retain, and use De-identified Information and aggregated data derived from user interactions with the Toolkit. This anonymized data, which cannot reasonably be used to identify you, may be used for purposes including, but not limited to, improving the Toolkit and underlying AI/ML models, research, service analytics, and developing new features or services.

6.4 Transmission Security Disclaimer: While we implement reasonable administrative, technical, and physical safeguards designed to protect information during processing, we cannot and do not guarantee the absolute security of data transmitted to, from, or processed by the Toolkit over the internet. Any transmission of data is AT YOUR OWN RISK. We are not responsible for the circumvention of any privacy settings or security measures.

6.5 No Sale or Leasing of User Data: LAC Health does not sell, rent, or lease user lists or personally identifiable input data to third parties for their marketing purposes.

6.6 Cookies and Tracking Technologies: The Website and Toolkit may use cookies, web beacons, and similar technologies to enhance user experience, analyze usage patterns, and facilitate functionality. Please refer to our Cookie Policy for details on how we use these technologies and your choices regarding them. Disabling cookies may affect Toolkit functionality.

7.1 Use of AI/ML: You acknowledge the Toolkit integrates AI/ML technologies for analysis and information generation based on user input and internal data sources.

Inherent Limitations of AI/ML: You explicitly acknowledge and accept that AI/ML technologies have significant limitations.

• May produce outputs that are inaccurate, incomplete, biased, or outdated.
• Are based on patterns in data and cannot replicate human intuition, empathy, or comprehensive clinical judgment.
• May not account for unique individual factors, rare conditions, or the full context of a situation.
• Are NOT a substitute for professional human expertise, especially in medical matters.

7.3 Ongoing Development & Variability: Our AI/ML models are continually under development. Outputs for similar inputs may change over time as models are updated, retrained, or refined.

NOT DIAGNOSTIC OR PREDICTIVE: Despite their sophistication, the AI/ML components are NOT capable of providing medical diagnoses, definitive predictions, or treatment plans. Outputs are informational probabilities or summaries only.

7.5 Potential Bias: We strive to mitigate bias, but AI/ML models can reflect biases present in their training data or development process. Users should be critical of outputs and consider potential biases.

7.6 Limited Transparency: While we aim for responsible AI, the complex nature (“black box” aspects) of some AI/ML models means we may not always be able to provide detailed explanations for specific outputs without revealing proprietary information.

“AS IS” AND “AS AVAILABLE” BASIS: THE TOOLKIT, INCLUDING ALL ITS CONTENT, FEATURES, FUNCTIONALITY, AND ANY INFORMATION OR OUTPUTS GENERATED THEREBY (INCLUDING AI-GENERATED CONTENT), IS PROVIDED STRICTLY ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

NO WARRANTIES EXPRESSED OR IMPLIED: TO THE FULLEST EXTENT PERMITTED BY LAW, LAC HEALTH AND ITS AFFILIATES, LICENSORS, AND SERVICE PROVIDERS EXPRESSLY DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO ANY WARRANTIES OF MERCHANTABILITY, NON-INFRINGEMENT, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, COMPLETENESS, RELIABILITY, SECURITY, AVAILABILITY, TIMELINESS, OR THAT THE TOOLKIT WILL BE ERROR-FREE OR UNINTERRUPTED.

8.3 No Guarantee of Accuracy or Reliability: LAC Health does not warrant or represent that the Toolkit or any information obtained through it will be accurate, reliable, complete, current, or suitable for your needs. Any reliance you place on such information is strictly and solely at your own risk.

8.4 No Guarantee of Availability or Performance: We do not guarantee continuous, uninterrupted, or secure access to the Toolkit. Its operation may be interfered with by numerous factors outside our control. We reserve the right to withdraw or amend the Toolkit in our sole discretion without notice.

EXCLUSION OF DAMAGES: TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL LAC HEALTH, ITS AFFILIATES, LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY (WHETHER CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE), ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO, USE OF, OR INABILITY TO USE, THE TOOLKIT, ANY WEBSITES LINKED TO IT, ANY CONTENT ON THE TOOLKIT (INCLUDING AI-GENERATED CONTENT), OR ANY SERVICES OR ITEMS OBTAINED THROUGH THE TOOLKIT, INCLUDING BUT NOT LIMITED TO:

• ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES;
• PERSONAL INJURY, PAIN AND SUFFERING, EMOTIONAL DISTRESS;
• LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS OR ANTICIPATED SAVINGS;

CAP ON LIABILITY: IF, NOTWITHSTANDING THE FOREGOING EXCLUSIONS, LAC HEALTH IS FOUND LIABLE FOR ANY DAMAGES, LAC HEALTH’S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TOOLKIT TERMS OR YOUR USE OF THE TOOLKIT SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO LAC HEALTH, IF ANY, FOR ACCESS TO THE TOOLKIT IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY, OR (B) ONE HUNDRED U.S. DOLLARS ($100.00).

9.3 Basis of the Bargain: You acknowledge and agree that the warranty disclaimers and the limitations of liability set forth in these Toolkit Terms reflect a reasonable and fair allocation of risk between you and LAC Health, and are fundamental elements of the basis of the bargain between you and LAC Health. The Toolkit would not be provided without such limitations.

9.4 Failure of Essential Purpose: The limitations and exclusions of liability will apply even if any limited remedy specified in these Terms is found to have failed of its essential purpose.

9.5 Specific Exclusions (AI, Medical Outcomes, Data): Without limiting the generality of the foregoing, LAC Health specifically disclaims liability for:

• Any errors, inaccuracies, biases, or harmful outputs generated by the AI/ML components.
• Any adverse health outcomes, medical decisions, or consequences resulting from reliance on information obtained from the Toolkit.
• Any loss, corruption, or unauthorized access to data you input into the Toolkit or data generated by the Toolkit.

9.6 Third-Party Actions: LAC Health is not liable for damages resulting from the actions or omissions of third parties, including other users or linked websites.

9.7 Force Majeure: LAC Health is not liable for failure or delay in performance due to causes beyond its reasonable control (as outlined in Section 12.8).

9.8 Indemnification by User: YOU AGREE TO DEFEND, INDEMNIFY, AND HOLD HARMLESS LAC HEALTH, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to: (i) your violation of these Toolkit Terms; (ii) your use of the Toolkit, including, but not limited to, any use of the Toolkit’s content, services, and outputs other than as expressly authorized in these Toolkit Terms; (iii) any information you submit or transmit through the Toolkit; or (iv) your violation of any law or the rights of a third party.

10.1 Term: These Toolkit Terms commence upon your first access or use of the Toolkit and remain in full force and effect while you use the Toolkit, unless earlier terminated as provided herein.

10.2 Termination by User: You may terminate these Toolkit Terms at any time by ceasing all use of the Toolkit.

10.3 Termination by LAC Health: LAC Health reserves the right, in its sole discretion, to suspend, restrict, or terminate your access to all or any part of the Toolkit at any time, for any reason or no reason, without prior notice or liability. Reasons for termination may include, but are not limited to, (a) breaches or violations of these Toolkit Terms or other incorporated agreements or guidelines, (b) requests by law enforcement or other government agencies, (c) discontinuance or material modification of the Toolkit, (d) unexpected technical or security issues or problems, or (e) extended periods of inactivity.

10.4 Effect of Termination: Upon termination, your right to access and use the Toolkit will immediately cease. All provisions of these Toolkit Terms which by their nature should survive termination shall survive, including, without limitation, ownership provisions (Section 5), warranty disclaimers (Section 8), limitations of liability (Section 9), indemnification (Section 9.8), governing law and dispute resolution provisions (Section 11), and miscellaneous provisions (Section 12).

10.5 No Data Retention Post-Termination: Consistent with our general data handling practices (Section 6.1), LAC Health has no obligation to retain or provide you with copies of any data you inputted following termination.

11.1 Governing Law: These Toolkit Terms and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the internal laws of the Commonwealth of Virginia, U.S.A., without giving effect to any choice or conflict of law provision or rule.

11.2 Jurisdiction and Venue: Any legal suit, action, or proceeding arising out of, or related to, these Toolkit Terms or the Toolkit shall be instituted exclusively in the federal courts of the United States located in the Eastern District of Virginia or the courts of the Commonwealth of Virginia located in Fairfax County, Virginia. You irrevocably waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.

CLASS ACTION WAIVER: YOU AND LAC HEALTH AGREE THAT ANY PROCEEDINGS TO RESOLVE OR LITIGATE ANY DISPUTE WILL BE CONDUCTED SOLELY ON AN INDIVIDUAL BASIS. NEITHER YOU NOR LAC HEALTH WILL SEEK TO HAVE ANY DISPUTE HEARD AS A CLASS ACTION, PRIVATE ATTORNEY GENERAL ACTION, OR IN ANY OTHER PROCEEDING IN WHICH EITHER PARTY ACTS OR PROPOSES TO ACT IN A REPRESENTATIVE CAPACITY. NO ARBITRATION OR PROCEEDING WILL BE COMBINED WITH ANOTHER WITHOUT THE PRIOR WRITTEN CONSENT OF ALL PARTIES TO ALL AFFECTED ARBITRATIONS OR PROCEEDINGS.

LIMITATION ON TIME TO FILE CLAIMS: ANY CAUSE OF ACTION OR CLAIM YOU MAY HAVE ARISING OUT OF OR RELATING TO THESE TOOLKIT TERMS OR THE TOOLKIT MUST BE COMMENCED WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES; OTHERWISE, SUCH CAUSE OF ACTION OR CLAIM IS PERMANENTLY BARRED.

12.1 Entire Agreement: These Toolkit Terms, together with our Privacy Policy, Cookie Policy, and general Website Terms of Service (all incorporated by reference), constitute the sole and entire agreement between you and LAC Health regarding the Toolkit and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Toolkit.

12.2 Severability: If any provision of these Toolkit Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Toolkit Terms will continue in full force and effect.

12.3 Waiver: No waiver by LAC Health of any term or condition set out in these Toolkit Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of LAC Health to assert a right or provision under these Toolkit Terms shall not constitute a waiver of such right or provision.

12.4 Assignment: LAC Health may assign or transfer its rights and obligations under these Toolkit Terms, in whole or in part, to any third party at its sole discretion without restriction. You may not assign or transfer any of your rights or obligations under these Toolkit Terms without the prior written consent of LAC Health, and any attempted assignment without such consent will be null and void.

12.5 Notices: LAC Health may provide notifications to you regarding the Toolkit or these Toolkit Terms via email to the address associated with your account (if any), or by posting notices or links to notices on the Website. You agree that all agreements, notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing.

12.6 No Third-Party Beneficiaries: These Toolkit Terms are for the benefit of, and will be enforceable by, the parties only. These Toolkit Terms are not intended to confer any rights or remedies upon any person other than the parties.

12.7 Relationship of the Parties: Nothing in these Toolkit Terms creates any partnership, joint venture, agency, employment, or fiduciary relationship between you and LAC Health.

12.8 Force Majeure: LAC Health shall not be liable for any delay or failure to perform resulting from causes beyond its reasonable control, including, but not limited to, acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, epidemics, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials, or failures of public or private telecommunications networks.

12.9 Export Control: You agree not to export, re-export, or transfer, directly or indirectly, any U.S. technical data acquired from LAC Health, or any products utilizing such data, in violation of United States export laws or regulations.

12.10 U.S. Government Rights: The Toolkit is “commercial computer software” as defined in FAR 12.212. If acquired by or on behalf of a U.S. government entity, the government’s rights to use, modify, reproduce, release, perform, display, or disclose the Toolkit are restricted as provided in these Toolkit Terms, in accordance with FAR 12.212 for civilian agencies and DFARS 227.7202 for military agencies. All other use is prohibited.

12.11 Headings: The section titles and headings in these Toolkit Terms are for convenience only and have no legal or contractual effect.
